Terms of Service

1. Acceptance of Terms

By accessing or using the KAX — Kvantum Aerial Exchange platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. KAX is operated by Kvantum Tech Ltd. ("KAX", "we", "our").

2. Eligibility & Verification

To list products or access the Defense Portal, you must complete KAX's KYC (Know Your Customer) and KYB (Know Your Business) verification. You represent that:

• You are at least 18 years of age and have full legal authority to enter into these Terms.
• Your use of the Platform complies with all applicable laws in your jurisdiction.
• You are not subject to any sanctions, export restrictions, or prohibitions under ITAR, EAR, or Wassenaar Arrangement.

3. Export Controls & Compliance

KAX operates in full compliance with US International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), and the Wassenaar Arrangement. All listings involving controlled items require:

• Verified seller identity and end-user certificates where applicable.
• Confirmation that the transaction does not violate any export control laws.
• Cooperation with KAX's compliance review process prior to listing approval.

KAX is not responsible for transactions that violate export control laws. Sellers and buyers bear full legal responsibility for compliance in their respective jurisdictions.

4. Platform Use & Prohibited Activities

You agree not to:

• List products that violate applicable laws or are subject to export bans without appropriate licensing.
• Misrepresent your identity, company, or the specifications of any listed product.
• Use the Platform to facilitate transactions that fund sanctioned entities or individuals.
• Attempt to circumvent KAX's compliance or verification processes.
• Scrape, copy, or reproduce Platform content without written permission.

5. Listings & Content

By submitting a listing, you grant KAX a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the listing content on the Platform. KAX reserves the right to reject, modify, or remove any listing at its sole discretion without notice.

All listings are subject to a compliance review period. KAX does not guarantee any timeline for listing approval.

6. Transactions & Escrow

KAX provides an escrow-secured transaction layer for eligible listings. KAX acts as an intermediary and is not party to any transaction between buyer and seller. KAX is not liable for product quality, delivery, or transaction disputes unless explicitly stated in a separate agreement.

7. Limitation of Liability

To the fullest extent permitted by law, KAX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the fees paid by you to KAX in the 12 months preceding the claim.

8. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
